Welcome and Thank you for choosing O-Rickshaw. End Mile Connectivity Federation (Hereinafter referred to as “End mile” we, us our) is the Licensee and operates the O-RICKSHAW ride-hailing application. Whereas End mile has obtained a limited license to use O-RICKSHAW for business purposes of its members These terms of use (“Terms”) apply to your access and use of O-Rickshaw and its related services, features, and content (collectively, the “Website”)

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website.

1. Definitions

O-Rickshaw: This is the name of the mobile website that allows you to find and book auto-rickshaws for your travel needs. It is owned by Suma Soft Private Limited and licensed to End mile.
End Mile: This is the name of the federation that operates the O-Rickshaw website and uses it for the business purposes of its members, who are independent transportation providers, drivers or vehicle operators.
Website: This refers to the O-Rickshaw website and its related services, features, and content that are provided to you by End mile.
Terms: This refers to the terms of use agreement that you are reading, which sets out the rules and conditions that you must follow when you access and use the Website.
Applicable Laws: shall mean any and all laws, including but not limited to the Consumer Protection Act, 2019, Consumer Protection (E-Commerce) Rules, 2020, Information Technology Act, 2000 and rules framed thereunder, Legal Metrology Act, 2009 and rules framed thereunder, Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, , other statutes, directives, regulations, decisions, legislations, regulatory rules, orders, judgments, decrees, frameworks, code of practice, guidelines or industry standards as issued by Government of India, any State Government in India and/or any other statutory and regulatory authority in India from time to time and are applicable to a Party, the services and /or arrangements covered under the Agreement.
User: This refers to you, the person who accesses and uses the Website for your personal and non-commercial purposes.

2. User eligibility and conduct

To access and use the Website, you must be at least 18 years old and have the legal capacity to enter into these Terms. You are solely responsible for your access and use of the Website and for complying with these Terms and any applicable laws, regulations, and policies. You must not use the Website for any unlawful, fraudulent, or harmful purpose, or in any way that violates the rights or interests of O-Rickshaw or any third party. You must not interfere with or disrupt the operation or security of the Website or its servers or networks. You must not attempt to access, modify, or reverse engineer any part of the Website or its source code, or to circumvent any technical or legal measures that protect the Website or its content.

The Website is a technology-based software that helps you find auto-rickshaws for your destinations and connects you with third party independent transportation providers, drivers or vehicle operators. The Website content and services are provided “as is” and “as available”, without any express or implied guarantee of any kind. O-Rickshaw does not ensure the accuracy, completeness, reliability, suitability, or availability of the Website content and services, nor does it support or approve any content or service provided by any third party through the Website. O-Rickshaw has the right to change, suspend, or stop the Website content and services at any time, without prior notice or responsibility to you or any third party. You acknowledge and agree that your use of the Website content and services is at your own risk and choice, and that you are solely responsible for any outcomes or damages that may result from such use.

4. Intellectual Property Rights

End mile is only a licensee of the O-Rickshaw App and Suma Soft Private Limited owns all the rights, titles, and interests, including all related intellectual property rights, in and to the Application/website and the Service and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party regarding the Service. You acknowledge and agree that you do not get any ownership or license rights in or to the Website or its content, except as clearly given by these Terms or by O-Rickshaw in writing. You may access and use the Website and its content for your personal and non-commercial purposes only, and you must not copy, reproduce, distribute, transmit, display, modify, create derivative works from, or otherwise use the Website or its content, without the prior written permission of O-Rickshaw or the respective owners. You must not infringe or violate the intellectual property rights of O-Rickshaw or any third party through your use of the Website or its content. If you think that your intellectual property rights have been infringed or violated by the Website or its content, you must inform O-Rickshaw right away and provide the relevant information and evidence.

During the Term of this Agreement, you agree that you shall indemnify and protect O-RICKSHAW, its licensors and each such party’s affiliates, officers, directors, members, employees, attorneys and agents from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs and/or regulatory action) that may arise from or relate to your access or use of the Website or its content or services, or your breach or violation of these Terms or any applicable laws, regulations, or policies.

8. Disclaimer of Warranties

You understand and agree that the Application, its content and any related service(s) are provided to you on an “as is” basis. O-RICKSHAW does not promise or guarantee anything that is not clearly stated in these terms. This includes any implied or legal warranties, such as the quality, suitability, or fitness of the services for a specific purpose. O-RICKSHAW also does not promise or guarantee that the services or any services or goods that you request through the services will be reliable, timely, quality, suitable, or available, or that the services will work without any errors or interruptions. You are solely responsible for any risks or losses that may result from your access or use of the Website or its content or services, or from any third party content or service that may be accessible or linked through the Website.

9. Limitation of Liability

You agree that O-RICKSHAW is not responsible for any harm or loss that you may suffer from Your use of website , such as:

User: This refers to you, the person who accesses and uses the Website for your personal and non-commercial purposes.

This limit applies to all claims, whether based on contract, warranty, tort (including negligence) or strict liability.

This limit does not affect your rights as a consumer that cannot be excluded under applicable law.

10. Governing Law

Any dispute arising out of or relating to Terms and Conditions, shall be in accordance with the laws of India and the courts in Pune, Maharashtra shall have exclusive jurisdiction.

11. Relationship

The relationship between you and us shall be of the nature of independent contractors. Nothing contained in these terms and conditions shall be construed as creating any agency, partnership, or other form of joint enterprise with us.

12. Severability

If any provision of the terms and conditions is held to be invalid or unenforceable, the legality, validity and enforceability of the remaining provisions shall not be affected or impaired.

13. Amendment or Modification

We have absolute discretion to change or modify these Terms of Use and any policies which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. Your use of this Site after such changes or modifications have been made shall constitute your acceptance of these Terms of Use as last revised

14. No Waiver

The failure to enforce any right or provision in the terms and conditions shall not constitute a waiver of such right or provision.

15. Entire Agreement

This Agreement comprises the entire agreement between you and us and supersedes any prior or contemporaneous negotiations or discussions.
